Izvestia: Maslyakov received real estate worth 2 billion from the Moscow authorities.

Control over the building "Planet of KVN" has passed to the family of the funniest and most resourceful. "Izvestia" found out how Alexander Maslyakov's long-term project to find a building for the club of the funniest and most resourceful ended - from this winter it is controlled by his personal company. According to the Rosreestr database, on January 29, 2015, the building of the former cinema "Gavana", owned by the city authorities and reconstructed at their expense, was transferred to the ownership of LLC "Dom KVN". 51% of this company is controlled by Alexander Maslyakov and his wife Svetlana; the CEO of this company, established in November 2014, is the wife of Maslyakov Jr., Angelina. Real estate market experts estimated this building at up to 2 billion rubles. Meanwhile, the Maslyakovs Jr. are planning to open their own business in the catering industry, apparently next to "Dom KVN".

Dom KVN becomes private property

If the extract from the Unified State Register of Rights to Real Estate and Transactions with it (EGRP) is available to "Izvestia", no documents issued by the city authorities on the transfer of rights to building No. 2 on Sheremetyevskaya Street could be found. Obviously, the building was transferred as a contribution from the capital to the authorized capital of LLC "Dom KVN" - it amounted to an impressive amount of 2.84 billion rubles. 49% of the shares in the company belong to the State Unitary Enterprise "Moscow Youth Center "Planet of KVN" (until December 2011, the State Unitary Enterprise was called the "Cinema and Concert Hall "Gavana"), from 2011 to 2013 the building was under reconstruction, in which the city authorities invested at least 150 million rubles.

51% of LLC "Dom KVN" belongs to LLC "Television Creative Association AMIK" (AMIK stands for Alexander Maslyakov and company). In what form the contribution was made to the authorized capital by LLC "TTO AMIK" is unclear - at least it is hardly the rights to trademarks. TTO owns at least three trademarks of the club, including the main verbal one: "KVN Club of the Funniest and Resourceful" (since 1997), and no changes in the owners of the rights to them have been recorded in the Rospatent database at the moment.

However, AMIK could have made a cash contribution: being the owner of the abbreviation, AMIK collects royalties from regional KVN concerts, which amount to several thousand rubles per performance. The main source of income for TTO is the sale of exclusive rights to performances of the Higher League of KVN to the First Channel. The company does not submit reports to Rosstat, Forbes magazine estimated AMIK's annual revenue in 2013 at $3.5 million.

According to Rosreestr, the hall on Sheremetyevskaya 2 until January 19, 2015 belonged directly to the city of Moscow, on the right of economic management it was registered for the State Unitary Enterprise "MMTC "Planet of KVN" from January 14, 2014; before that - for the State Unitary Enterprise "Marina Roshcha". Partner of the law firm Goltsblat BLP Vitaly Mozharovsky emphasizes that in order to transfer ownership rights from the State Unitary Enterprise to a private company, the corresponding resolution of the Moscow government should have been issued.

- If it was not issued, in fact, AMIK has no rights to the building. In the future, when the authorities want to regain control over "Planet of KVN", they will easily be able to take the building back. As for the funds contributed by Maslyakov's company, they may have been payment for their stake in the company.

The Department of Urban Property preferred to redirect the request of "Izvestia" to the State Unitary Enterprise "Moscow Youth Center "Planet of KVN", whose CEO is Maslyakov Sr.

Formalities with "Satirikon" are also not resolved

Last week Maslyakov, together with President Vladimir Putin, inspected the new concert hall center under Kaliningrad "Yantar Hall" (Svetlogorsk), where in June the "Golosyashiy KVN" festival was held for the first time (the event moved from Jurmala). The rights to the building under the site on Lenina Street in Svetlogorsk are not yet registered, but the plot under the new complex is still owned by the Kaliningrad region. The operational comment from the representatives of the regional administration could not be given, but they told local media that the government of the Kaliningrad region did not lease the new complex to the festival organizers.

Unlike the Kaliningrad venue, the KVN House in Moscow was awaited by the community of fun and resourceful people for many years. Maslyakov admitted last year that the idea of the KVN House has been in his mind for "many years, even decades". In 2011, he met with Vladimir Putin at least twice and argued for the need for KVN in its own building, in particular, because 20 million people are involved in KVN. Experts believe that the market value of this commercial real estate property is much higher. The building could be worth at least 1.3 billion rubles, says Konstantin Kovalev, Managing Partner at Blackwood. His colleague from Kalinka Group, Egor Levchenko, believes that the property could be sold for 1.8-2 billion rubles.

- According to Kovalev from Blackwood, the annual net profit of the Comedy Club Production Center (CCPC) could reach 100-120 million rubles, "but interest in such real estate in the market has weakened, and now it is difficult to sell such a business in less than 6 months, despite the advantageous location of the property," he adds.

The CCPC's stage is periodically used for filming the Higher League and Premier League of KVN (Russian comedy show), as well as other comedy programs and performances by various artists. Notable tenants of CCPC include the Satirikon Theatre, which will move to the CCPC until at least May 2016. The theater, which has been located at Sheremetyevskaya Street, 8 (formerly the Tajikistan Cinema), since 1984, will stage its performances at the CCPC in the upcoming season, according to theater spokesperson Nikolay Prokofiev. The new season is set to start on October 21.

- The move, or rather the lease of premises at the CCPC, will be for at least one year, and then we will see, said Prokofiev.

In April, a tender was posted on the government procurement portal for rehearsals and performances of the Satirikon Theatre worth 18.4 million rubles. The auction was won by Dineps LLC, although Dom KVN LLC also participated. However, shortly before the deal was concluded with Dineps, the Satirikon Theatre notified the company that it was canceling the contract, according to a Dineps employee.

Dineps considered the Satirikon Theatre's refusal a violation of the law on government procurement (44-FZ) and appealed to the Federal Antimonopoly Service (FAS). According to the FAS, it found that the maximum contract price specified in the procurement notice did not comply. According to a representative of Dineps, the FAS obliged the Satirikon Theatre to renegotiate the deal with Dineps, but the theater simply canceled it.

- In fact, the customer twice violated the law: first 44-FZ, and then ignored the FAS decision, said a Dineps employee. - In addition, an employee of Dineps who was present during the deal was detained by the theater's security. The company intends to file a complaint with the prosecutor's office against the Satirikon Theatre. The agreement between the Satirikon Theatre and Dineps was originally planned for several months, from September to December, with the theater using the premises only a few days a week.

A representative of the Satirikon Theatre only noted that the lease agreement with the CCPC was concluded, but could not explain why the theater did not comply with the FAS decision. Another procurement procedure for the Satirikon Theatre, conducted as a "sole supplier procurement," proceeded without incident: since June until December 31, 2015, the theater has a contract with Dom KVN LLC for 210,000 rubles for renting non-residential premises for ticket offices.

The Maslyakovs are preparing to open their first catering establishment

Alexander Maslyakov Sr. confirmed to Izvestia that the Satirikon Theatre has leased premises at the CCPC, but declined to comment further, including on the transfer of property rights to Dom KVN, citing his vacation. Alexander Maslyakov Jr., who is the CEO of TTO AMIK, also refused to comment. His wife, Angelina, the director of Dom KVN LLC, did not answer calls.

Meanwhile, in June 2015, she established Kultpodkhod LLC, according to the Unified State Register of Legal Entities (EGRL). The company's specialization, according to EGRL data, is restaurant and cafe activities. Angelina Maslyakova owns 38% of this LLC, and the operator of the neighboring shopping center, Raikin Plaza LLC, owns 12% (51% of Raikin Plaza is held by the Raikin Cultural Support and Development Fund, established by Anatoly Polyankin and Konstantin Raikin, and 49% is owned by Polyankin personally). Alexander Maslyakov Jr. denied to Izvestia that his wife established Kultpodkhod LLC. Nevertheless, the taxpayer identification number of the founder of Kultpodkhod LLC and the director of Dom KVN LLC match.

According to Vadim Prasov, Vice President of the Federation of Restaurateurs and Hoteliers, Kultpodkhod LLC has little chance of success since its owners clearly lack the experience of managing such establishments. In his opinion, opening a restaurant or bar under the "KVN" brand will not help the business since the club is not associated with food.
